Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of PrismOnboard's platform, services, and website (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

Definitions

  • "You" and "Your" refer to the individual or entity using the Service
  • "We", "Us", and "Our" refer to PrismOnboard and its affiliates
  • "Account" refers to your registered account on the platform
  • "Content" refers to all data, text, files, and information uploaded to the Service
  • "Client Data" refers to information about your clients that you process through the Service

Account Registration

Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By creating an account, you represent and warrant that you meet these requirements.

Account Information

You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your information to keep it accurate and complete
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access or security breach
  • Accept responsibility for all activities that occur under your account

Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, illegal, or abusive behavior.

Subscription and Billing

Free Trial

We offer a 27-day free trial for new users. No credit card is required to start the trial. At the end of the trial period, your account will be downgraded to the free plan unless you subscribe to a paid plan.

Paid Subscriptions

By subscribing to a paid plan, you agree to:

  • Pay all fees associated with your selected plan
  • Provide valid payment information
  • Authorize automatic recurring billing
  • Pay all applicable taxes

Billing Cycle

Subscriptions are billed monthly or annually, depending on your selected plan. Billing occurs on the same day each billing cycle. You can change or cancel your subscription at any time through your account settings.

Refund Policy

We offer a 30-day money-back guarantee for new subscriptions. If you're not satisfied within the first 30 days, contact us for a full refund. Refunds are not available after the 30-day period. Monthly subscriptions are non-refundable after the current billing period.

Price Changes

We reserve the right to change our pricing at any time. We will provide at least 30 days' notice of any price increases for existing customers. Continued use of the Service after a price change constitutes acceptance of the new pricing.

Use of the Service

Permitted Use

You may use the Service for:

  • Managing client onboarding processes for your agency or business
  • Creating and customizing workflow automation
  • Storing and sharing documents with your clients
  • Communication and project management
  • Any other lawful business purpose

Prohibited Use

You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any laws, regulations, or third-party rights
  • Transmit viruses, malware, or malicious code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Scrape, crawl, or spider the Service
  • Reverse engineer or attempt to extract source code
  • Resell or redistribute the Service without authorization
  • Use the Service to send spam or unsolicited communications
  • Impersonate another person or entity
  • Harass, threaten, or abuse other users
  • Upload illegal, offensive, or infringing content

Your Content and Data

Ownership

You retain all ownership rights to the content and data you upload to the Service. We do not claim ownership of your content.

License to Us

By uploading content to the Service, you grant us a limited, worldwide, non-exclusive license to host, store, process, and display your content solely to provide the Service to you.

Your Responsibilities

You are solely responsible for:

  • The accuracy and legality of your content
  • Obtaining necessary rights and permissions for your content
  • Ensuring compliance with data protection laws (GDPR, CCPA, etc.)
  • Maintaining backups of your important data
  • Your clients' data that you process through the Service

Content Removal

We reserve the right to remove content that violates these Terms, infringes on third-party rights, or is otherwise objectionable. We will notify you before removing content when reasonably possible.

Data Processing and Privacy

As a user of PrismOnboard, you act as a data controller for your clients' data, and we act as a data processor. You agree to:

  • Comply with all applicable data protection laws
  • Obtain necessary consents from your clients
  • Provide appropriate privacy notices to your clients
  • Process data only for lawful purposes
  • Implement appropriate security measures

Intellectual Property

Our Rights

The Service, including its design, code, features, trademarks, and all related intellectual property, is owned by PrismOnboard and protected by copyright, trademark, and other laws. You may not copy, modify, distribute, or create derivative works without our written permission.

Feedback

If you provide us with feedback, suggestions, or ideas about the Service, we may use them without any obligation to you. You grant us all rights to use and incorporate such feedback into the Service.

Third-Party Services

The Service may integrate with third-party services (e.g., payment processors, email providers, cloud storage). Your use of these third-party services is subject to their respective terms and policies. We are not responsible for the actions, content, or services of third parties.

Service Availability and Modifications

Availability

While we strive to provide reliable service, we do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any losses resulting from service unavailability.

Modifications

We reserve the right to modify, suspend, or discontinue any feature or the entire Service at any time, with or without notice. We will make reasonable efforts to notify you of significant changes.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties of non-infringement
  • Warranties that the Service will be uninterrupted or error-free
  • Warranties that defects will be corrected
  • Warranties regarding data accuracy or results

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRISMBOARD SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Service interruptions or data loss
  • Third-party actions or content
  • Unauthorized access to your account or data

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless PrismOnboard, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any laws or third-party rights
  • Your content or data
  • Your client relationships and interactions

Dispute Resolution

Informal Resolution

Before filing a claim, you agree to contact us at legal@prismboard.com to attempt to resolve the dispute informally. We will work in good faith to resolve the issue within 30 days.

Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration will take place in San Francisco, California.

Class Action Waiver

You agree to bring claims only in your individual capacity and not as part of a class action or representative proceeding.

Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any legal action must be brought in the state or federal courts located in San Francisco, California.

Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

Termination

By You

You may cancel your account at any time through your account settings. Upon cancellation, you will retain access until the end of your current billing period.

By Us

We may terminate your account if:

  • You violate these Terms
  • You engage in fraudulent or illegal activity
  • Your account has been inactive for an extended period
  • Required by law or court order

Effect of Termination

Upon termination, your access to the Service will cease. Your data will be retained for 30 days, after which it will be permanently deleted. You may request a data export before deletion.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PrismOnboard regarding the Service.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.
